End User License Agreement — Inkrest

This End User License Agreement ("Agreement") is a legal agreement between you and Lampblack Labs LLC ("Licensor") for the Inkrest software, including updates and documentation ("Software").

1. License grant

Licensor grants you a personal, non-exclusive, non-transferable license (revocable only as set out in Section 9 (Termination)) to install and use the Software on the number of devices permitted by your license tier (as stated at purchase), for your personal or internal business use, subject to this Agreement.

2. Restrictions

You may not: (a) redistribute, resell, rent, lease, or sublicense the Software; (b) reverse engineer, decompile, or disassemble the Software, except to the extent this restriction is prohibited by applicable law; (c) circumvent or disable the licensing, trial, or update mechanisms; (d) remove proprietary notices; (e) use the Software on more devices than your license tier permits or otherwise exceed the scope of your license; or (f) use the Software, or output generated by it, to develop, train, or improve a competing product or service.

3. Ownership

The Software is licensed, not sold. Licensor retains all rights not expressly granted.

4. On-device processing; your content

The Software processes audio, produces transcripts, and refines them entirely on your device. You own your content. Licensor does not access, collect, or store your audio, transcripts, or refined text (see our Privacy Policy).

5. Third-party components and AI models

The Software includes third-party open-source components under their respective licenses (including WhisperKit, MLX, swift-transformers, FluidAudio, Sparkle, and others; see the in-app Acknowledgements and THIRD_PARTY_NOTICES). AI model weights are not distributed with or by the Software — the Software downloads them directly to your device from Hugging Face on first use, and your download and use of those weights is governed by the model providers' own terms. In particular, the default refinement model, Google Gemma 4, is licensed by Google under the Apache License 2.0 (https://ai.google.dev/gemma/docs/gemma_4_license). The NVIDIA Parakeet speech model is licensed under CC-BY-4.0; the Whisper, Qwen, and SmolLM models under their respective open-source licenses (MIT and Apache 2.0). You are responsible for complying with all such terms.

6. Updates

The Software may check for and install updates. You may disable automatic checks in settings where available.

7. Disclaimer of warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE MAXIMUM EXTENT PERMITTED BY LAW. LICENSOR DISCLAIMS ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AI-GENERATED TRANSCRIPTION AND REFINEMENT MAY BE INACCURATE OR INCOMPLETE; YOU ARE RESPONSIBLE FOR REVIEWING OUTPUT BEFORE RELYING ON IT, AND THE SOFTWARE IS NOT INTENDED FOR SAFETY-CRITICAL OR HIGH-RISK USE WHERE AN INACCURACY COULD CAUSE DEATH, INJURY, OR SERIOUS HARM. This Section is subject to the non-waivable consumer rights in our Terms of Service (Section 8a).

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOST DATA OR PROFITS. LICENSOR'S AGGREGATE LIABILITY IS LIMITED AND CAPPED AS SET OUT IN SECTION 9 (LIMITATION OF LIABILITY) OF OUR TERMS OF SERVICE, WHICH APPLIES TO THIS AGREEMENT AND IS INCORPORATED BY REFERENCE. Nothing in this Agreement excludes or limits any liability that cannot be excluded or limited under applicable law (including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation), or any non-waivable consumer rights you have under mandatory law.

8a. Indemnification

To the extent permitted by applicable law, you will indemnify and hold harmless Licensor and its member(s), managers, officers, employees, and agents from any third-party claim, loss, liability, or expense (including reasonable legal fees) arising from (a) your misuse of, or unlawful use of, the Software; (b) your violation of any third-party right or of the AI model providers' terms (including the applicable open-source license terms of the AI models); or (c) content you create or process using the Software. This Section does not override non-waivable consumer protections.

9. Termination

This Agreement terminates automatically if you breach it. On termination you must stop using and delete the Software.

10. Export and compliance

You represent that you are not located in a U.S.-embargoed or sanctioned country or region and are not on any U.S. government restricted-party list.

11. Governing law and disputes

This Agreement is governed by the laws of the State of Washington, USA. For U.S. residents, disputes are subject to binding individual arbitration and a class-action waiver as set out in our Terms of Service (Section 10a), with a 30-day opt-out. Nothing here limits the non-waivable consumer rights described in our Terms of Service (Section 8a).

13. Changes, severability, and entire agreement

We may update this Agreement; updates are governed by the "Changes" section of our Terms of Service (Section 12), apply prospectively only, and will not retroactively alter the terms governing a license you have already purchased. If any provision of this Agreement is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions remain in full force. This Agreement, together with our Terms of Service, is the entire agreement between you and Licensor regarding the Software. Nothing in this Agreement limits your non-waivable statutory rights.

Apple App Store — Additional Terms

(Apply to versions obtained from the Apple App Store.) This Agreement is concluded between you and Lampblack Labs LLC only, and not with Apple. Apple is not responsible for the Software or its content.
